Governors

 

Wootton Bassett School became an Academy (within the meaning of section 6 (2) of the Academies Act 2010) on 1st July 2011. On March 14th 2012, the name was formally changed to Royal Wootton Bassett Academy.

The Academy is run by a charitable company limited by guarantee known as Royal Wootton Bassett Academy. The Company is subject to company law and to the requirements of the Registrar of Companies.

The Academy is an 'exempt charity'. That is subject to charity law but not registered with the Charity Commission. Regulation is by the Young People’s Learning Agency (YPLA).

A charitable company has two groups of individuals involved in the corporate governance of the organisation: the Directors and the Members

The Directors – are responsible for managing the affairs of the Academy Trust and are responsible for the day to day running of it. The day to day powers of management are largely delegated to the Head teacher.

All Governors of Royal Wootton Academy are Directors, and in that role will continue to be known as Governors.

The Members – The Members 'own' the Academy Trust in the same way that shareholders of a commercial company would, but Members cannot receive dividends from an Academy Trust. Members have a number of statutory rights reserved to them.

The Members of the Academy Trust of Royal Wootton Bassett Academy, in line with DfE policy of a small number of Members, is limited to the following Governors, Chair, Vice-Chair and the three Chairs of Standing Committees.

Description of Role

The Governing Body exercises its functions by fulfilling a largely strategic role by:

  • Settings aims and objectives for the Academy
  • Adopting policies for achieving those aims and objectives
  • Setting targets for achieving those aims and objectives

The Headteacher has responsibility for the internal organisation, management and control of the Academy and for the implementation of the strategic framework agreed by the Governing Body. Governors are not involved in the detail of the day-to-day management of the Academy.

Constitution

The Academy's Articles of Association sets out the total membership of the Governing Body and the number of governors in each category.

The total number of governors is 20 to be formed in the following proportions:

Staff

Both teaching and support staff paid to work at the Academy are eligible. Volunteers are not eligible. The manner of election (by other staff at the Academy) or appointment (by Governing Body if insufficient nominations) is prescribed by regulations

Local Authority Governor

Appointed to the position by Wiltshire Council, the Local Authority

Parent Governor

Must be a parent (or carer) of a registered pupil at the time of their election or appointment. The manner of election (by other parents at the Academy) or appointment (by Governing Body if insufficient nominations) is prescribed by regulations. Not disqualified from continuing to hold the position when pupil leaves Academy.

The Headteacher

The Headteacher is a member of the Governing Body by virtue of office

Community Governors

Appointed by the Governing Body to represent community interests; will live or work in the community served by the Academy or be a person who the governing body believes is committed to the good government and success of the Academy.
